RankZero – Terms of Service

1. Definitions

In these Terms:

• "Account" means the account you create to access the Services.
• "Customer" means the agency or organization that subscribes to the Services.
• "Customer Data" means data uploaded, provided, or submitted by a Customer or its users, including keywords, brand data, customer lists, URLs, prompts, product information, AI answer snapshots, analytics, and related metadata.
• "Input" means any text, instructions, prompts, or data you submit to the Services.
• "Output" means any AI-generated or system-generated response, report, analytics, or data resulting from the Input or Customer Data.
• "Personal Information" means information relating to an identified or identifiable individual, as described in our Privacy Policy.
• "Users" means individuals who access or use the Services under a Customer account.

RankZero acts as a data controller for Personal Information it collects directly and a data processor for Customer Data, processing it only under Customer instructions.

2. Eligibility and Account Registration

To use the Services, you must be:

• At least 18 years old,
• Legally able to enter a binding agreement, and
• Using the Services on behalf of yourself or a business with proper authority.

You agree to:

• Provide accurate and complete registration information,
• Maintain the confidentiality of your account credentials, and
• Accept responsibility for all activity on your account.

3. Description of the Services

RankZero provides an AI-powered platform designed to help agencies and brands:

• Track how their clients appear in AI-generated answers
• Analyze keyword and brand visibility across LLMs
• View performance analytics, snapshots, and competitive insights
• Manage brand data, keywords, workflows, and reporting
• Access dashboards, metrics, exports, and collaboration tools

RankZero may update, modify, or discontinue any Service component at any time, with or without notice.

4. Customer Data and Data Rights

4.1 Ownership of Customer Data

Customer retains all rights, title, and interest in Customer Data.

RankZero obtains no rights to Customer Data beyond those necessary to provide the Services.

4.2 License to Provide Services

Customer grants RankZero a limited, worldwide, royalty-free license to host, process, store, transmit, analyze, and display Customer Data solely to deliver, maintain, secure, and support the Services.

4.3 No Use for General Model Training

RankZero does not use Customer Data, Input, or Output to train, fine-tune, or improve general-purpose AI models.

We may use aggregated, anonymized usage metadata to improve reliability and detect abuse.

4.4 Customer Responsibilities

Customer is responsible for ensuring that:

• Customer Data is accurate and lawful;
• Customer Data shared with RankZero does not contain personal data of end consumers (if it does, Customer is responsible for lawful basis and notices);
• Customer's users comply with these Terms.

5. Input, Output, and Intellectual Property

5.1 Input

You retain ownership of your Input.

5.2 Output

Subject to compliance with these Terms, RankZero assigns to you all rights to Output generated specifically for you.

AI may produce similar results for different users; exclusive rights cannot be guaranteed.

5.3 RankZero IP

The Services, software, models, UI, logos, trademarks, databases, and system architecture belong exclusively to RankZero or its licensors.

No intellectual property rights are transferred to you except those explicitly granted.

6. Acceptable Use

You agree not to:

• Upload or create unlawful, harmful, defamatory, or infringing content
• Attempt to reverse engineer, copy, or extract RankZero's underlying technologies
• Interfere with or disrupt the platform or its networks
• Attempt to access other customers' data
• Use the Service to build or train a competing product
• Scrape or harvest the platform without permission
• Probe or attack RankZero's infrastructure
• Use the Service for fraudulent, malicious, or abusive purposes

RankZero may suspend or terminate access for violations.

7. Fees, Billing, and Taxes

7.1 Subscription Fees

Certain features require a paid subscription ("Paid Tier"), billed monthly or annually.

All fees and plan limits are displayed on our Site.

7.2 Payments

Payments are processed by authorized third-party processors (e.g., Stripe). You authorize recurring charges.

7.3 Taxes

All fees exclude applicable taxes, which you are responsible for paying.

7.4 Price Changes

RankZero may modify pricing with at least 30 days' notice.

8. Cancellation, Refunds, and Termination

8.1 Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting support.

Access continues until the end of the billing period.

8.2 No Refunds

Payments are non-refundable, except where required by law.

8.3 Termination by RankZero

We may suspend or terminate your access if you:

• Breach these Terms,
• Fail to pay fees,
• Engaged in misuse or illegal conduct, or
• Pose security or operational risks.

8.4 Effect of Termination

Upon termination:

• Access to the Services ceases immediately
• Data may be deleted per our Privacy Policy
• Sections intended to survive (IP, liability, disclaimers, etc.) remain in force

9. Third-Party Services and Integrations

The Services may rely on or integrate with third-party tools (e.g., hosting providers, AI model APIs, analytics platforms).

RankZero is not responsible for the availability, accuracy, or security of third-party services. You are responsible for compliance with their terms.

10. Confidentiality

Both parties agree to maintain the confidentiality of non-public or proprietary information received through the Services.

RankZero will implement and maintain administrative, technical, and physical safeguards consistent with industry standards.

11. Disclaimers

11.1 "As Is" Services

The Services are provided "AS IS", without warranties of any kind.

RankZero does not guarantee that:

• Outputs will be accurate or error-free
• AI snapshots or rankings reflect real-time or complete results
• The platform will always be uninterrupted, secure, or free of defects

11.2 AI Output

AI-generated Output may contain inaccuracies, hallucinations, or incomplete data. You are responsible for evaluating fitness for your use case.

12. Limitation of Liability

To the fullest extent permitted by law, RankZero is not liable for:

• Indirect, incidental, special, punitive, or consequential damages
• Business interruption, data loss, or lost profits
• Errors, inaccuracies, or omissions in Output
• Unauthorized access to or alteration of your data

RankZero's aggregate liability is limited to the greater of USD $100 or the fees paid in the six (6) months preceding the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless RankZero from claims arising out of:

• Your use of the Services
• Your Input, Output, or Customer Data
• Your violation of these Terms
• Your infringement of intellectual property or privacy rights

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules.

You consent to the exclusive jurisdiction of the state and federal courts in Delaware.

15. Modifications to the Services and Terms

RankZero may modify or update these Terms at any time.

Material changes will be communicated via email or prominent notice at least 30 days before taking effect.

Your continued use of the Services constitutes acceptance of updated Terms.

16. Privacy and Security

Your use of the Services is governed by our Privacy Policy, which describes our data practices and is incorporated into these Terms.

17. General Provisions

Entire Agreement: These Terms, along with the Privacy Policy, constitute the full agreement.

Severability: Invalid provisions will be limited or removed; the remainder remains effective.

No Waiver: Failure to enforce a provision is not a waiver.

Assignment: You may not assign these Terms; RankZero may assign without restriction.

Notices: We may send notices via email or Site posting.
